Recruiter Terms of Service

Welcome to Bloome.ai's Recruiter Platform. These Terms of Service govern your use of our recruiter portal and placement services. By using Bloome as a recruiter, you agree to these terms. Please read them carefully.
1. Agreement to Terms
By accessing or using Bloome.ai's recruiter platform ("Bloome," "we," "our," or "us"), you agree to be bound by these Recruiter Terms of Service. If you disagree with any part of these terms, you may not access the service.
These Terms govern your use of our recruiter portal, including candidate discovery, introductions, and placement services.
2. Description of Service
Bloome provides a platform that connects recruiters with pre-qualified tech candidates:
• Access to our curated candidate pool
• AI-powered candidate matching and discovery
• Introduction and messaging tools
• Hire tracking and verification
• Billing and payment processing
Our service uses artificial intelligence to match your job requirements with candidate profiles and preferences.
3. Recruiter Account Requirements
To use Bloome's recruiter platform, you must:
• Represent a legitimate hiring company or recruiting agency
• Provide accurate company and contact information
• Maintain a valid payment method on file
• Complete our account verification process
• Notify us immediately of any unauthorized access
We reserve the right to decline or terminate accounts that do not meet our verification standards or violate these terms.
4. Introduction Attribution Period
For a period of twelve (12) months following any introduction of a Candidate to Recruiter through the Bloome platform ("Lookback Period"), Recruiter agrees that any employment relationship, consulting arrangement, or contractor engagement between Recruiter's company and such Candidate shall be considered to have resulted from Bloome's introduction, regardless of:
(a) Whether the hire was facilitated through the Bloome platform;
(b) Whether subsequent contact occurred through other channels (including but not limited to email, LinkedIn, phone, or in-person meetings);
(c) Whether the hire was for a different position than originally introduced;
(d) Whether the Candidate was referred by a third party after the initial Bloome introduction.
The Lookback Period shall apply to each individual Candidate-Recruiter pairing and shall commence from the date of the initial introduction.
5. Circumvention and Liquidated Damages
Recruiter acknowledges that circumvention of the Bloome platform causes substantial harm to Bloome that would be difficult to quantify. Accordingly, Recruiter agrees that:
(a) Any hire of a Candidate introduced through Bloome that is not reported through the platform within five (5) business days shall constitute circumvention ("Circumvention");
(b) Upon discovery of Circumvention, Recruiter shall pay Bloome liquidated damages equal to the greater of:
• The standard placement fee (10% of first-year compensation) that would have been owed; or
• Five Thousand British Pounds (£5,000);
(c) Recruiter agrees that this liquidated damages amount is a reasonable estimate of Bloome's damages and does not constitute a penalty;
(d) Bloome reserves the right to pursue additional remedies, including but not limited to actual damages, where Circumvention involves fraud or intentional misconduct.
6. Payment Terms
(a) Payment Method Requirement: Recruiter must maintain a valid payment method on file to access Bloome's introduction services. Recruiter may not send introductions or create placement contracts without a valid payment method.
(b) Placement Fee: The standard placement fee is 10% of the Candidate's first-year compensation (base salary plus any guaranteed bonuses).
(c) Invoice Terms: Placement fees shall be invoiced upon verification of hire by both Recruiter and Candidate. Payment is due within thirty (30) days of invoice date.
(d) Late Payments: Invoices not paid within the payment term shall:
• Accrue interest at 1.5% per month (18% annually);
• Result in suspension of Recruiter's ability to send new introductions;
• Be subject to collection costs, including reasonable attorney's fees.
(e) Guarantee: If a placed Candidate leaves within 3 months, Recruiter may request a full refund or credit toward a replacement hire.
7. Account Suspension
Bloome reserves the right to suspend Recruiter accounts for:
• Three (3) or more failed payment attempts;
• Any invoice overdue by more than thirty (30) days;
• Pattern of disputed hires exceeding 20% of total placements;
• Violation of these Terms of Service.
While suspended:
• You cannot send introductions to candidates
• You cannot create new placement contracts
• You can view existing data and conversations
• You can add a payment method and request reactivation
Suspended accounts may be reactivated upon:
• Payment of all outstanding invoices and fees;
• Addition of a verified payment method;
• Bloome's review and approval.
8. Hire Verification
(a) Recruiter Report: Recruiter shall report all hires of introduced Candidates through the Bloome platform within five (5) business days of the hire being confirmed.
(b) Candidate Verification: Following Recruiter's hire report, Bloome will request verification from the Candidate. The Candidate may:
• Confirm the hire, triggering invoice generation;
• Dispute the hire, triggering Bloome review;
• Not respond within fourteen (14) days, which shall be treated as unverified.
(c) False Reports: Recruiter acknowledges that knowingly reporting false hires constitutes fraud and may result in:
• Immediate account suspension;
• Reporting to relevant authorities;
• Civil liability for damages.
(d) Dispute Resolution: In the event of a disputed hire, Bloome shall investigate and make a determination within ten (10) business days.
9. Audit Rights
(a) Record Keeping: Recruiter agrees to maintain accurate records of all hiring decisions for positions in categories where Bloome has made Candidate introductions.
(b) Audit Request: Upon reasonable suspicion of Circumvention, Bloome may request documentation of Recruiter's hiring activity for the relevant position categories during the applicable Lookback Period.
(c) Recruiter Response: Recruiter shall respond to audit requests within ten (10) business days with:
• List of hires made in relevant position categories;
• Source of each hire (job board, referral, agency, etc.);
• Start dates and compensation bands for each hire.
(d) Confidentiality: Bloome agrees to treat all audit information as confidential and use it solely for verifying compliance with these Terms.
(e) Non-Compliance: Failure to respond to an audit request shall create a rebuttable presumption that Circumvention occurred for any Candidate introduced within the Lookback Period.
10. Non-Solicitation of Candidates
During the Lookback Period, Recruiter agrees not to solicit, contact, or communicate with any introduced Candidate through any channel other than the Bloome platform for purposes related to employment, except:
(a) Through scheduled interviews facilitated by the Bloome platform; or
(b) After a placement contract has been executed and verified through Bloome.
Prohibited contact includes but is not limited to:
• Direct email to personal or professional email addresses;
• LinkedIn messages, InMail, or connection requests;
• Phone calls or text messages;
• Contact through mutual acquaintances or third parties.
Any contact made in violation of this section shall be reported to Bloome and shall constitute evidence of intent to circumvent the platform.
11. Limitation of Liability
We strive to provide a reliable and useful service, but please note:
• We do not guarantee that candidates will accept your introductions or job offers;
• We are not liable for decisions made by candidates or third parties;
• We do not guarantee the accuracy of candidate-provided information;
• We are not a recruiting agency or employer of the candidates.
To the extent permitted by applicable law, our total liability for any claims arising from your use of Bloome is limited to the fees you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded under applicable law.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising out of or relating to these Terms shall be resolved through:
(a) Good faith negotiation for thirty (30) days;
(b) If unresolved, binding arbitration administered by CEDR under its rules;
(c) The arbitration shall take place in London, UK.
Either party may bring claims in small claims court for disputes within that court's jurisdictional limits. Either party may seek injunctive relief from courts of competent jurisdiction to prevent irreparable harm pending arbitration.
